01 Eligibility & your account
You must be at least 18 years old, or the age of majority where you live, to use Projunity. You're responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that happens under your account. Notify us promptly if you believe your account has been accessed without your authorization. You may sign in with a password, a one-time email login link, or a supported single sign-on option such as Google.
02 Member & Studio accounts
Projunity offers different account types:
- Member accounts — free accounts for individuals, including invited members and clients. Some features are available without a paid subscription.
- Studio accounts — paid subscriptions for studios, agencies, and production companies that unlock the studio workspace, client portals, and related features, subject to the plan you choose.
The specific features, limits, and prices of each plan are described at the point of sign-up or purchase and may be updated over time as described in these Terms.
03 Trials, billing & renewals
Free trials
We may offer a free trial of a paid plan. Depending on the offer, a trial may or may not require a payment method up front. If you add a payment method for a trial and don't cancel before it ends, your subscription will begin and the applicable fee will be charged. If a trial doesn't have a payment method on file when it ends, the paid features simply stop unless you subscribe.
Subscription billing
Paid subscriptions are billed in advance through our payment processor, Stripe, on the billing cycle you select (for example, monthly or yearly). You authorize us and Stripe to charge your payment method for the applicable fees, plus any taxes. You enter and manage your card details directly with Stripe; Projunity does not store your full card number.
Automatic renewal
Subscriptions renew automatically at the end of each billing period at the then-current price, until you cancel. We'll charge your payment method on file for each renewal.
Except where required by law, payments are non-refundable, and partial billing periods are not prorated or refunded when you cancel.
04 Cancellation & pricing changes
You can cancel your subscription at any time from your billing settings, which are managed through Stripe's secure billing portal. When you cancel, your plan remains active through the end of the period you've already paid for and then does not renew. You're responsible for cancelling before a renewal if you don't want to be charged for the next period.
We may change our prices or the features included in a plan. If we change the price of a subscription you hold, we'll give you reasonable advance notice, and the change will take effect on your next billing period. If you don't agree to a price change, you may cancel before it takes effect.
05 Payments between users
Projunity includes tools that let one user invoice and pay another — a client paying a studio for its work, or a studio paying a collaborator for theirs. This section is about those payments. It doesn't change Sections 03 and 04, which are about what you pay Projunity for your own subscription.
What we do, and what we don't
Projunity provides the software: the invoice, the payment link, and the record of what was paid. The work being paid for is not ours. We are not the buyer or the seller of the creative services on an invoice, we are not a party to the agreement between the people transacting, and an invoice or a payment passing through Projunity does not make us one. The scope, price, quality, timing, and delivery of that work stay between the people who agreed to it.
Projunity does not hold your money. We are not a bank, a payment processor, a money transmitter, an escrow service, or a financial institution. Payments settle directly to the recipient's own account with our payment provider — they do not pass through an account belonging to Projunity.
Stripe and connected accounts
These payments are processed by Stripe, using Stripe Connect. To be paid through Projunity you open a Stripe connected account through us and complete Stripe's onboarding directly with Stripe. Payments are then charged on your connected account, which means you are the merchant of record: the payment appears as yours, the funds settle to your Stripe balance, and Stripe pays them out to your bank on its own schedule. Whoever is paying enters their card details on a Stripe-hosted payment page, not in Projunity.
Using these features means you are also subject to Stripe's applicable agreements, including its Connected Account Agreement, and to Stripe's own identity and verification requirements. Stripe — not Projunity — decides whether an account may accept payments or receive payouts. If Stripe restricts, pauses, or closes an account, the affected payment features are unavailable until Stripe says otherwise, and that decision is Stripe's to explain and to reverse.
The Projunity platform fee
Payments processed through Projunity are subject to a Projunity platform fee. It is deducted from the payment as it is processed and is separate from, and in addition to, Stripe's own processing fees, which the recipient's connected account bears in the ordinary way.
We haven't written the fee into these Terms, because it can change and we would rather this document stay accurate than restate a number. The fee that applies to you is disclosed to you in Projunity before you use these payment features, and the amount taken from each payment is itemised on that payment's record so you can always see what was deducted and what you kept. If we change the fee, the change applies to payments processed after it takes effect, and we'll disclose the new fee the same way.
Refunds
Whoever received a payment can refund it, in full or in part, from Projunity or from their own Stripe dashboard. When a refund is issued, our platform fee on the refunded amount is returned along with it, in proportion — you are not left paying us a fee on money you have given back.
Whether a refund is owed in the first place is a question about the underlying work — cancellation, scope, quality, what was actually agreed — and that is between the parties to it. We provide the mechanism for issuing a refund; we do not decide who is entitled to one, and providing the mechanism does not make us responsible for the services being refunded.
Chargebacks and payment disputes
If someone disputes a card payment with their bank, that dispute is between the payer, the recipient's connected account, and Stripe. Because the recipient is the merchant of record, the recipient responds to it in their own Stripe dashboard and carries the outcome, including any amount reversed and any dispute fee Stripe charges. Projunity surfaces the dispute where we know about it, so it isn't missed, and reverses our platform fee when Stripe reverses the payment. We do not represent either side, and we do not operate a dispute-resolution or mediation service of our own.
Taxes
You are responsible for the tax and reporting obligations that come from your own business and the services you provide — sales, use, VAT, GST, income, or similar taxes, and any invoicing or reporting rules that apply where you operate. Projunity does not calculate, collect, file, or remit those taxes for you, and nothing shown in Projunity is tax advice. Stripe may issue tax forms to connected accounts where it is required to. None of this affects the obligations Projunity has in its own right, including on the fees you pay us.
No relationship beyond the software
Using Projunity does not make us your employer, employee, agent, partner, or joint venturer, and it does not create any of those relationships between Projunity and the studios, collaborators, or clients who use it. Nor does it create them between users: a studio and a collaborator define their own relationship, and Projunity is not part of it.
We do not vet, endorse, supervise, or stand behind the people you choose to work with, and we do not guarantee the quality, legality, timeliness, completion, or suitability of any work managed, invoiced, or paid through Projunity. Managing work here is a convenience, not a warranty.
06 Studio seats & access
A Studio account may allow the studio to invite team members and clients into its workspace, subject to any seat or usage limits of its plan. The studio is responsible for the people it invites, for managing their access, and for ensuring their use complies with these Terms. The studio may add or remove people and control what each person can see and do within its workspace.
07 Client portals & invited users
Projunity lets a studio invite clients and guests into a project portal to view work, leave feedback, and approve deliverables. If you've been invited to a portal, the studio that invited you controls your access and the materials shared with you, and your use is also subject to these Terms. Studios are responsible for having the right to share the materials they place in a portal and for their communications with the people they invite.
08 Acceptable use
You agree not to misuse the Service. Among other things, you will not:
- Break the law or infringe anyone's intellectual property, privacy, or other rights;
- Upload malware, or attempt to gain unauthorized access to the Service, other accounts, or our systems;
- Interfere with or disrupt the Service, or circumvent our security, rate limits, or bot protections;
- Use the Service to send spam or unlawful, harassing, hateful, or deceptive content;
- Upload content you don't have the right to share, or that is unlawful or infringing;
- Reverse engineer, resell, or provide the Service to third parties except as expressly allowed;
- Use the Service in a way that harms Projunity or its users.
09 Your content & ownership
"Your Content" means the files, assets, deliverables, project materials, feedback, messages, and other content that you or your studio and clients upload to or create in Projunity.
Your work remains your work. You and your studio and clients keep all ownership of and intellectual-property rights in Your Content. Uploading creative assets, client files, deliverables, or other project materials to Projunity does not transfer ownership of them to Projunity.
You grant us only the limited, non-exclusive rights reasonably necessary to operate the Service for you — to host, store, back up, process, transmit, and display Your Content to the people you've authorized, and to make copies as needed to run and secure the Service. This license exists only so we can provide Projunity, and it ends when Your Content is deleted, except for copies retained for a limited time in routine backups or as required by law.
We will not use Your Content to advertise or market to third parties, sell it, or use it to train artificial-intelligence models. We won't use your work in our own marketing without your permission.
You are responsible for Your Content and for having the rights needed to upload and share it. You're also responsible for keeping your own copies; Projunity is not a backup or archival service of record.
10 Projunity's intellectual property
The Service itself — including Projunity's software, design, branding, logos, and the "Projunity" name — belongs to Projunity and its licensors and is protected by intellectual-property laws. These Terms don't grant you any right to our branding or software except the limited right to use the Service as intended. If you send us feedback or suggestions, we may use them to improve Projunity without obligation to you.
11 Service availability
We work to keep Projunity available and reliable, but we don't guarantee that the Service will be uninterrupted or error-free. We may perform maintenance, update or change features, and occasionally experience downtime. We may modify or discontinue parts of the Service; if we discontinue a paid feature you rely on, we'll act reasonably regarding any fees you've prepaid for it.
12 Suspension & termination
You may stop using Projunity and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to Projunity or others, and we'll aim to give notice where reasonable. On termination, your right to use the Service ends. We handle data after account closure as described in our Privacy Policy; because studios, clients, and shared projects are connected, some records may be retained or anonymized to preserve other users' project history.
13 Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Projunity disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, or that any data will not be lost. You use the Service at your own discretion and risk.
14 Limitation of liability
To the fullest extent permitted by law, Projunity and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Service.
To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid Projunity for the Service in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars (US$100). Some jurisdictions don't allow certain limitations, so some of these may not apply to you.
15 Indemnification
You agree to defend, indemnify, and hold harmless Projunity from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
16 Changes to these Terms
We may update these Terms as Projunity evolves. When we make material changes, we'll update the "Last updated" date above and, where appropriate, provide additional notice. Changes take effect when posted, and your continued use of the Service after that means you accept the updated Terms. If you don't agree, please stop using the Service.
17 Governing law
These Terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Wisconsin will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to venue there, except where applicable law gives you the right to bring a claim elsewhere. If any provision of these Terms is found unenforceable, the rest will remain in effect.
